TERMS OF SERVICE

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Varunos platform, including Marino, Neo, analytics modules, document processing services, and related software applications (collectively, the "Platform").

Varunos Systems Pte. Ltd. ("Varunos", "we", "us", or "our") is a company incorporated in Singapore.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Nature of Services

Varunos provides cloud-based software solutions for the maritime industry, including:

• AI-assisted decision-support tools
• Regulatory reference assistance
• Fleet analytics dashboards
• Emissions and performance calculation tools
• Document management and semantic search capabilities

The Platform provides decision-support assistance only. It does not replace professional judgment, regulatory consultation, classification society guidance, or legal advice. Users remain fully responsible for operational, compliance, safety, and commercial decisions.

3. Eligibility and Authority

You may use the Platform only if you are legally capable of entering into a binding contract and you have the authority to accept these Terms on behalf of yourself or the organization you represent.

If you use the Platform on behalf of an organization, that organization is the customer and is responsible for your access and use (including how administrators manage accounts, roles, and permissions).

4. Account Registration

To access certain features, users may be required to:

• Create an account
• Provide accurate company and contact information
• Maintain confidentiality of login credentials

You are responsible for all activities under your account. You must promptly notify us of any suspected unauthorized access or security incident related to your account.

5. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes
• Attempt unauthorized access to systems or databases
• Upload malicious code or attempt to disrupt the Platform
• Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law)
• Use the Platform to develop or train competing systems using the Platform or its outputs
• Access or use the Platform in a way that violates applicable export, sanctions, or data protection laws

We may suspend or restrict access to protect the Platform, users, and our systems.

6. AI-Generated Content

The Platform uses artificial intelligence models to generate responses, insights, and analysis.

You acknowledge that:

• AI outputs may contain inaccuracies or incomplete information
• Responses may be generated probabilistically and may vary
• AI-generated content is not guaranteed to be correct, current, or aligned with latest regulatory amendments

Varunos does not warrant that AI-generated outputs are error-free. You are responsible for reviewing and validating outputs before relying on them.

7. User Data & Document Uploads

Users may upload documents, operational data, and other materials to the Platform ("Customer Content").

You represent and warrant that:

• You have the legal right to upload such content
• The content does not violate confidentiality obligations or applicable laws
• You have authority to process such data within your organization

Varunos does not claim ownership of your Customer Content. You grant Varunos a limited license to host, process, transmit, and display Customer Content solely to provide, maintain, and improve the Platform and to fulfill our legal obligations.

8. Fees & Subscriptions

Certain features may require paid subscription plans. Fees will be specified at the time of purchase.

Paid plans are billed in advance and may renew automatically unless cancelled before the renewal date. Payments are processed by Stripe.

Unless required by applicable law or expressly stated at the time of purchase, fees are non-refundable. If you cancel, you will continue to have access through the end of the current billing period.

Subscription fees are non-refundable once billed unless otherwise stated in a written enterprise agreement.

Varunos reserves the right to modify pricing with notice, where required or appropriate.

9. Intellectual Property

All software, design, content, branding, and proprietary systems made available as part of the Platform are owned by Varunos or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during the subscription period.

If you provide feedback or suggestions, you grant Varunos the right to use them without restriction or compensation.

10. Third-Party Services

The Platform may interoperate with third-party services (for example, cloud providers, payment processors, or AI providers). Third-party services are governed by their own terms and policies, and Varunos is not responsible for third-party services.

11. Service Availability

While we aim for high availability, Varunos does not guarantee uninterrupted service. We may suspend or limit the Platform for maintenance, security updates, infrastructure upgrades, or to address incidents.

12. Data Security

We implement commercially reasonable safeguards designed to protect data. However, no system can guarantee absolute security. Users are responsible for internal access controls within their organization.

13. Termination

We may suspend or terminate access if:

• These Terms are violated
• Fees are unpaid
• Fraudulent activity is detected

Users may terminate their subscription according to plan terms.

14. Disclaimers

To the fullest extent permitted by law, the Platform is provided on an "as is" and "as available" basis. Varunos disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, Varunos shall not be liable for operational losses, compliance penalties, regulatory fines, commercial losses, or data inaccuracies arising from user-provided inputs.

The Platform is a decision-support system, not a compliance authority.

Total liability shall not exceed the fees paid by the user in the preceding 12 months.

16. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be resolved in the courts of Singapore.

17. Updates to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
